G&G Armament NOW THEREFORE, The parties have entered into this Agreement in order to assure the non-disclosure of such information, trade secrets and/or confidential and/or proprietary information in accordance with the terms of this Agreement, as follows: 1. Disclosure. THE DISCLOSER agrees to disclose, and THE RECEIVER agrees to receive the Confidential Information. 2. Confidentiality. 2.1 No Use. THE RECIPIENT agrees not to use the Confidential Information in any way, or to manufacture or test any product embodying Confidential Information, except for the purpose set forth above. THE RECIPIENT agrees to hold in confidence, and shall not disclose to any person outside its organization, any proprietary corporate and business information, trade secrets or any other such Confidential Information disclosed by the DISCLOSER to THE RECIPIENT and designated as secret, confidential or proprietary by THE DISCLOSER ("Proprietary Information"). 2.2 No Disclosure. THE RECIPIENT shall disclose the Proprietary Information received by it under this Agreement only to persons within its organization who have a need to know such Proprietary Information in the course of the performance of their duties and who agree to keep such Proprietary Information confidential and to be bound by this Agreement to the same extent as if they were parties hereto. THE RECIPIENT shall use such Proprietary Information only for the purpose for which it was disclosed and shall not use or exploit such Proprietary Information for its own benefit or the benefit of another without the prior written consent of THE DISCLOSER. 2.3 Protection of Secrecy. THE RECIPIENT agrees to take all steps reasonably necessary to protect the secrecy of the Confidential Information, and to prevent the Confidential Information from falling into the public domain or into the possession of unauthorized persons. 3. Limits on Confidential Information. Confidential Information shall not be deemed proprietary and THE RECIPIENT shall have no obligation with respect to such information where the information: (a) was known to THE RECIPIENT prior to receiving any of the Confidential Information from Discloser; (b) has become publicly known through no wrongful act of THE RECIPIENT; (c) was received by THE RECIPIENT without breach of this Agreement from a third party without restriction as to the use and disclosure of the information; (d) was independently developed by THE RECIPIENT without use of the Confidential Information; or (e) was ordered to be publicly released by the requirement of a government agency. THE RECIPIENT agrees that in the event that any contract, business relationship, or other course of dealing between the two entities ceases, or otherwise upon request of THE DISCLOSER, THE RECIPIENT shall return in full all documents and other tangible manifestations of Proprietary Information received by THE RECIPIENT pursuant to this Agreement (and all copies and reproductions thereof), and thereafter not utilize, in any manner, any of the Proprietary Information for any purpose. 6. Accuracy and Completeness of Information. The Proprietary Information is provided by THE DISCLOSER for the sole purpose of establishing and/or in the course of a business relationship. The Proprietary Information has not been audited or confirmed, and, unless specifically provided in writing, THE DISCLOSER makes no representations, expressed or implied as to the accuracy or completeness of the Proprietary Information or the conclusions to be drawn there from.
