No attempting to reverse engineer any of the software or hardware comprising the SpotterRF. 3.No warranty on units were the case is breached or struck by lightning Details IMPORTANT-READ CAREFULLY: This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and SpotterRF for the SpotterRF hardware and/or software that accompanies this EULA, which includes software embedded in the device (Firmware) and may include associated media, printed materials, "online" or electronic documentation. SpotterRF owns the title, copyright, and other intellectual property rights in the Software and Hardware of the SpotterRF. The Software and Hardware of the SpotterRF is licensed, not sold. 3.LIMITATIONS ON REVERSE ENGINEERING, DECOMPILATION, AND DISASSEMBLY. You may not reverse engineer, decompile, or disassemble the Hardware or Software of the unit. 4.ADDITIONAL SOFTWARE. This EULA applies to updates, supplements and add-on components of the Software/Hardware that SpotterRF may provide to you or make available to you after the date you obtain your initial copy of the Software/Hardware, unless we provide other terms along with the update, supplement or add-on component. 5.UPGRADES. To use Software identified as an upgrade, you must first be licensed for the software identified by SpotterRF as eligible for the upgrade. 6.NOT FOR RESALE. The SpotterRF is identified as "Not For Resale" or "NFR," may not be sold or otherwise transferred the SpotterRF to another user, individual or entity, or used for any purpose other than demonstration, test or evaluation without express written consent by SpotterRF and the U.S Department of Defense as necessary 7.TERMINATION. Without prejudice to any other rights, SpotterRF may terminate this EULA if you fail to comply with the terms and conditions of this EULA and you may be prosecuted to the full extent of the law. 8.LIMITED WARRANTY FOR SOFTWARE/HARDWARE. SpotterRF warrants that the Software/Hardware will perform substantially in accordance with the accompanying materials for a period of one year from the date of receipt. AS TO ANY DEFECTS DISCOVERED AFTER THE ONE YEAR PERIOD, THERE IS NO WARRANTY OR CONDITION OF ANY KIND UNLESS EXPRESS WRITTEN CONSENT IS GIVEN BY SpotterRF. LIMITATION ON REMEDIES; NO CONSEQUENTIAL OR OTHER DAMAGES. Your exclusive remedy for any breach of this Limited Warranty is as set forth below. This Limited Warranty gives you specific legal rights. You may have other rights which vary from state/jurisdiction to state/jurisdiction. YOUR EXCLUSIVE REMEDY. SpotterRF's and its suppliers' entire liability and your exclusive remedy for any breach of this Limited Warranty or for any other breach of this EULA or for any other liability relating to the Software shall be, at SpotterRF's option from time to time exercised subject to applicable law, (a) return of the amount paid (if any) for the Unit, or (b) repair or replacement of the Unit, that does not meet this Limited Warranty and that is returned to SpotterRF with a copy of your receipt. You will receive the remedy elected by SpotterRF without charge, except that you are responsible for any expenses you may incur (e.g. cost of shipping the SpotterRF to SpotterRF). This Limited Warranty is void if failure of the Software has resulted from accident, abuse, misapplication, abnormal use or a virus. MUTUAL NON-DISCLOSURE AGREEMENT This Agreement governs the disclosure of information by and between SpotterRF LLC located at 709 Technology Ave, Building E Ste 3 100, orem, U! 84097 and VTR Technologies, LLC located at 401 ocean Ave, Suite 201A, Melbourne Beach, FL 32951 as of September 14.2012. l. As used herein, "ConJidential Informdtion" shall mean any and all technical and non-technical information provided by either party to the other, including but not limited to (a) patent and patent applications, (b) trade secrel, and (c) proprietary information--mask works, ideas, samples, media, techniques, sketches, drawings. works of authorship, models, inventions, know-how, processes, apparatuses, equipment, algorithms, software programs, software source documents, intemal photographs of tlie product(s), user manuals and quickstart guides and formulae related to the current, f'uture, and proposed products and services ofeach olthe parties, and including, without limitation, their respective information concerning research, experimental work, development, design details and specifications, engineeling, financial information, procul.entent requirements, purchasing, manulacturing, customer lists. investors, employees, business and contractual relationships, business forecasts, sales and merchandising, marketing plans and information the disclosing party provides regarding thild parties. 2. Each pady agrees that at all times and notwithstanding any termination or expiration of this Agreement it will hold in strict confidence and not disclose to any third party Confidential lnformation ofthe other, except as approved in writing by the other party to this Agreement, and will use the Confidential Infonnation for no purpose other than evaluating or pursuing a business relationship with the other party to this Agreement. Notwithstanding the above, the party to whom Confidential Information was disclosed (the "Recipient") shall not be in violation of this Section 3 with regard to a disclosure that was in response to a valid older by a court or other governmental body, provided that the Recipient provides the other party u/itl'I prior u'r'itten notice of sr.rch disclosure in order to perrnit the other party to seek confidential treatment ofsuch information. Each pany shall only permit access to Confidential Information of the other party to those of its employees or authorized representatives having a need to knorv and who have signed confidentiality agreements or are otherwise bound by confidentiality obligations at least as restrictive as those contained herein. 4. Each party shall imnrediately notily the other upon discovery ofany loss or unauthorized disclosure of the Confidential Infonnation of tlie other party. 5. Each party's obligations under this Agreement rvith respect to any portion ofthe other party's Confidential Information shall terminate when the Recipient can document that: (a) it was in the public domain at the time it was comniunicated to the Recipient by the other party; (b) it entered the public domain subsequent to the time it was communicated to the Recipient by the other party through no fault ofthe Recipient; (c) it was in the Recipient's possession free ofany obligation ofconfidence at the time it was communicated to the Recipient by the other party; (d) it was rightfully conn']runicated to the Recipient free ofany obligation ofconfidence subsequent to the time it rvas communicated to the Recipient by the other party; (e) it was developed by employees or agents ofthe Recipient independently ofand without refeLence to any information communicated to the Recipient by the other party; or (l) it was communicated by the othel party to an unaffiliated third party free of any obligation of confidence. 6. Upon termination or expiration ofthe Agreement, or upon written request ofthe other party, each party shall promptly retLlrn to the other all documents and other tangible materials representing the other's Confidential Information and all copies thereof'. 7. The parties recognize and agree that nothing contained in this Agreement shall be construed as granting any propefty rights, by license or otherr.vise, to any Confidential Information ofthe other party disclosed pursuant to this Agreement, or to any invention or any patent, copyright, trademark, or other intellectual property rigl.rt that has issued or that may issue, based on such Confidenlial Information. Neither party shall make, have made. use or sell fbr any purpose any product or other item using, incorporating or derived from any Confidential Inlormation ofthe other party. 8. Confidential lnformation shall not be reproduced in any form except as required to accomplish the intent ofthis Agreement. Any reproduction ofany Confidential Information ofthe other party by either party shall renain the property ofthe disclosing party and shall contain any and all confidential or proprietary notices ol legends lvhich appear on the original, unless otherwise authorized in writing by the other party. 9. This Agreement shall terminate three (3) years after the Effective Date, or may be terminated by either party at any time upon thirty (30) days written notice to the other party.
