Amendment No. 1 MUTUAL NONDISCLOSURE AGREEMENT This Amendment No. 1 (“Amendment”) amends the Mutual Nondisclosure Agreement No. 19N0064 between FlexRadio (“Contractor”) and ARINC Incorporated, a part of Collins Aerospace (“ARINC”) dated March 26, 2019 (“Agreement”), and is entered into and effective ___________________________ (“Effective Date”). WHEREAS, the Parties wish to amend or extend the Agreement as set forth herein. THEREFORE, for valuable consideration, the adequacy and receipt of which are hereby acknowledged, the Parties agree to amend the Agreement as follows: Rockwell Collins, Inc. 400 Collins Road NE, Cedar Rapids, IA 52498 U.S.A., as an affiliate of ARINC Incorporated and a part of Collins Aerospace; and Rockwell Collins Canada, Inc., 30 Edgewater Street, Suite 104, Ottawa, Ontario, K2L 1V8, Canada, a part of Collins Aerospace are hereby included as a parties to this Agreement. And The Purpose is modified to read “discuss specifications, including but not limited to all technical data and specifications relating to the R/T-2200A transceiver, required to support the integration between the Collins RT- 2200A transceiver and a FlexRadio Power Amplifiier” And Add the following to the end of Section 2.: “Given that an R/T-2200A interface specification and an integration unit will be provided to Flex Radio in order to complete contracted work, Company agrees not to copy or reverse engineer, or to cause or enable others to copy or reverse engineer, any Confidential Information contained in such R/T-2200A interface specification or integration unit.” All other terms and conditions remain unchanged.
