Date:12/07/2018VCB_F-09:CertificationAgreementFormVersion:v03Page2of10 VistaLaboratories,Inc. 1261PuertaDelSol SanClemente,CA92673 Phone:(949)393-1123 Web:www.vista-compliance.com Email:[email protected] 1.CertificationRequirements TheapplicantwillprovideVistaLaboratories,Inc.withallproductinformationfortheevaluationofthe producttobecertifiedandwarrantthattheinformationprovidedisaccurateandcompletesothatVista Labsmayperformtheservicesrequested.Iftheproductwastestedatanexternallaboratory,the applicantmustprovidethecompletetestreporttoVistaLabs.IftheexternaltestingfacilityisnotISO 17025accredited,ordoesnothavetheproperscope,VistaLabsmustdetermineifthetestreportcanbe usedforcertificationactivities.Theapplicant’sinformationisusedtoperformaproductreviewand evaluationtodeterminetheproduct’scompliancetothespecificcertificationrequested.Throughoutthe process,theclientagreestomakeclaimsregardingcertificationconsistentwiththescopeofcertification. Theapplicantagreestosupplytherequirednumberofproductsamples,tobedeterminedbyVistaLabs, tothelaboratoryfortesting,measurement,andevaluationpurposes.Theclientunderstandsthatcertain testsmaydamageordestroythesampleandacknowledgethatVistaLabsisnotresponsibleforsuch damages.Sampleswillbereturnedonlyuponrequestbytheapplicantandattheapplicant’sexpense, afterthecompletionofcertification.Sampleswillbedisposedofaftersixmonthsifnotrequestedfor returnbyapplicant. Theproductisineligibleforcertificationifithasbeenmodifiedbytheclientaftertestingorcertification. ChangestotheproductmustbeapprovedbyVistaLaboratories.VistaLabsreservestherighttore- evaluatetheproductasaresultofinformationthatraisesquestionsconcerningtheconformanceofthe product.Certifiedproductsmaintainfulfilmentofproductrequirementsifthecertificationappliesto ongoingproduction.Iftheclientprovidescopiesofthe certificationdocumentstootherparties,thedocumentsarereproducedintheirentirety,orasspecifiedin thecertificationscheme.Inmakingreferencetoitsproductcertificationinmedia,suchasbrochuresor advertisement,theclientcomplieswiththerequirementsoftheVistaLabsorasspecifiedbythe certificationscheme.Theclientcomplieswithanyrequirementsthatmaybeprescribedinthecertification schemerelatingtotheuseofmarksofconformity,andonallproductcorrespondencesandproduct relatedinformation. VistaLabsreservestherighttoreviseorwithdrawtherequirementsasrequiredinordertomaintain conformancewithFCCrulesandregulationsgoverningtheproduct.Theproductmaycontinuewith certificationandreceivecertificationupondemonstrationofcompliancewiththerevisedrequirements,to thesatisfactionofVistaLaboratories. 2.IndemnificationandLiability VistaLaboratoriesdoesnotassumeorundertakeanyresponsibilitytoanyotherpartyorpartiesin performanceofitsdutiesunderthisagreement.TheclientagreestoholdVistaLabsharmlessandto defendandindemnifyVistaLabsagainstanyliability,loss,ordamagefromclaims,demands,costs (includinglegalfees),orjudgmentsarisingoutofanygrosslynegligentorintentionalactsoftheclient,or clientauthorizedthirdpartiesrelatingtotheproduct.VistaLabswillnot,underanycircumstance,beliable totheclientforanydamagesorthirdpartyclaimswhichmayariseasaresultoftheservicesprovidedin thisagreement.
