ForHardwarereturnedtoCorning’srepairfacility,Customershallberesponsibleforpaymentofalltransportationandfreightcosts (includinginsurance)toCorning’srepairfacility,andCorningshallberesponsibleforalltransportationandfreightcosts(including insurance)incurredinconnectionwiththeshipmentofsuchHardwaretootherrepairfacilitiesofCorningand/oritsreturnto Customer.FOBpointshallbethepointoforiginineithercase.Notwithstandingtheforegoing,innoeventwillCorningbeliablefor damagetoProductsresultingfromimproperhandlingduringoraftershipment,misuse,neglect,improperinstallation,operationor repair(otherthanbyauthorizedCorningpersonnel),alteration,accident,orforanyothercausenotattributableto nonconformancetotheSpecificationsonthepartofCorning.CorningshallnotreimburseormakeanyallowancetoCustomerfor anylaborchargesincurredbyCustomerforreplacementorrepairofanygoodsunlesssuchchargesareauthorizedinadvancein writingbyCorning. SoftwareWarranty CorningwarrantstoCustomerthat,foraperiodofone(1)yearfromthedateofshipmentoftheoriginalSoftware,unless otherwiseagreedinwritingbyCorning(the“SoftwareWarrantyPeriod”),theSoftwareshallconforminallmaterialrespectswith theSpecifications(the“SoftwareWarranty”).IntheeventtheSoftwareisproventofailtoconformtotheSpecificationduringthe SoftwareWarrantyPeriod,CorningshallcorrectsuchfailureandensurethattheSoftwareconformswiththeSpecifications. CustomerwillallowCorningtoinspecttheoperationoftheSoftwareatCustomer’slocationorwillprovideremoteaccessfor Corningstaff.Notwithstandingtheforegoing,CorningshallhavenoobligationundertheSoftwareWarrantyiftheSoftwareis modifiedorusedwithhardwareorsoftwarenotsuppliedorapprovedbyCorningoriftheSoftwareissubjectto,improper installation,application,oroperation.Third‐partysoftwaredistributedwiththeSoftwaremaycarrycertainwarrantieswhich,to themaximumextentallowedbylaw,Corningherebyassigns,transfers,andotherwiseconveystoCustomer,provided,however, thatCorningitselfprovidesnowarrantyofanykind,express,implied,statutoryorotherwise,foranythird‐partysoftwareprovided hereunder.Corningdoesnotwarrantanyhardware,softwareorservicesnotprovidedbyCorning.
