This product is not sold as a kit, however the product will be integrated into a customer’s physical/mechanical configuration without changes to the base transmitter packaging or shielding. This product is not sold to the general public, and is expected to be used by occupational/professional users only. We expect to apply the following limitations: 1) The Nano-Transmitter is already granted FCC-ID I4U-25VST, and no changes will be made to it. The Nano-Transmitter may also continue to be sold (without the booster amplifier) using the existing FCC-ID. 2) The connector interface board shown in the application might not be used, and Nano-Transmitter signal and power connections could be applied directly to the ribbon cable connector. a. The interface board contains no RF shielding or filtering functions. b. The interface board also contains no additional buffering amplifiers, all buffering is contained within the Nano-Transmitter assembly. c. The interface board contains no voltage regulators, all power regulation for the Nano-Transmitter is self-contained. 3) No physical or mechanical changes will be made to any RF shielding structure. 4) The assembly maximum RF output power shall remain unchanged. These questions are dated 14Sep15, and respond to JOB #: 1804UC15. 1) The NDA has been modified to explicitly include photographic images of this product as confidential, and not to be disclosed. Please see the supplied NDA file. 2) This device is not a portable, hand-carried, or body-worn application, and shall be used only in a mobile environment. Calculations of Maximum Permissible Exposure (MPE) limitations show that this device complies with “Uncontrolled Exposure” limits when a distance of 26.6cm is maintained from a 2.5dBi antenna. “Controlled Exposure” limits are met at a separation distance of 11.9cm. These calculations assume that this device is the only transmitter present. Therefore, this device shall be subject to the following usage limitations: a. This device is intended for occupational or professional use only. b. To comply with MPE regulations, this device shall be connected to an antenna with a maximum gain of 2.5dBi. Users shall be cautioned to verify that the antenna connected does not exceed the specified maximum gain prior to commencing transmitter operation. c. Users shall be made aware that the transmitter produces Radio Frequency (RF) energy, and shall be trained in the maintenance of a safe separation distance from an active radiating element. d. Users shall maintain a minimum separation distance of 20cm from the radiating antenna when it is actively transmitting, to comply with Controlled Environment MPE limits. e. A minimum installation distance of 20cm shall be maintained to other antennas present in the application. 3) The following language will be added to the user manual. a. When this device is integrated into a user configuration, care shall be taken to maintain Radio Frequency (RF) shielding integrity. All RF paths shall employ coaxial cable and high- quality RF connectors. Integration drawings and photographs shall be provided to IMT for review upon request. Device integrators assume responsibility for ensuring that the installed environment is equivalent to the reference design environment, and for maintaining RF performance integrity as related to integration and installation. b. Upon completion of integration, and prior to commencing transmitter operation, an RF output power measurement shall be made to ensure that the output power does not exceed 5W. c. The following Maximum Permissible Exposure (MPE) limitations assume a single transmitter, with a maximum antenna gain of 2.5dBi, using vertical polarization. Controlled Exposure MPE limitations are met at a distance of 12cm from the radiating element, and a 20cm separation is recommended. Users shall be instructed to maintain this clearance when the transmitter is active. Uncontrolled Exposure limitations are met at a separation distance of 27cm. Device integrators are responsible for MPE compliance of the installed environment. 4) This device shall be installed and maintained to provide a maximum of 5W of transmitter RF output power. Production tolerances and allowable adjustment ranges shall permit a +0dB and - 6dB variation about this point. 5) Form 731 a. The Emission Designators should be: 1M25W7D, 2M50W7D, 6M00W7D, 7M00W7D, and 8M00W7D. b. Consistent with KDB634817, page 4, Item III, only the widest bandwidth needs to be listed. 6) We provide a schematic for the transmitter, FCC-ID: I4U-25VST. This document is considered included under the confidentiality request. IMT does not have a schematic for the RF power amplifier; it is sourced from a supplier as a component, with a Specification Control Document (SCD). The provided SCD is considered IMT Confidential, and included under the confidentiality request. 7) A Bill-of-Materials (BoM) is supplied for the transmitter, again considered a confidential submission. IMT does not have a BoM for the RF power amplifier. 8) This device is intended for use only by professional/occupational users. The transmitter does not have user accessible external controls, in compliance with 90.203(g). Frequency programming tools are only provided to service/maintenance personnel. 9) I have reviewed the assembly drawing provided, and do not find the FCC Part-15 statements shown on the label. 10) The two Part-15 statements have been deleted from the user manual. In respect to the internal photo of the final Power Amplifier, IMT feels that additional justification for confidentiality exists due to the fact that the amplifier circuit board(s) are mounted inside a sealed component that can sustain damage upon opening, and that opening would nullify any equipment warranty since the equipment is only serviceable by IMT or our designated technicians. For warranty administration purposes, IMT applies stickers to the component housings that will indicate if the housing has been opened, to ensure that only designated service technicians have access. The internal images of the amplifier would provide any reasonably savvy RF engineer the means to replicate the design and result in substantial competitive harm to IMT. Also, the internal photos show the digital circuitries and IC markings, which would provide competitors information on the technologies used. Therefore, internal photos would expose our proprietary design information, would provide any reasonably savvy digital design engineer the means to replicate the design, and result in substantial competitive harm to IMT. 25VST-AMP is a microwave transmitter. It is only operated by and under the control of video transmission professionals. It is not a general consumer product, and it is not accessible by general public. IMT requests that these materials be withheld from public inspection in perpetuity due to the possibility and likelihood that the designs will be utilized, in whole or in part, by IMT as the basis for future products which would likewise be subject to the same competitor interest. 1 MUTUAL CONFIDENTIALITY AGREEMENT This agreement is entered by and between Integrated Microwave Technologies, LLC of 200 International Drive, Mount Olive, New Jersey, a Delaware limited liability company, as well as its subsidiaries and affiliates (hereafter referred to generally as IMT) and __________________________________________, a___________________________________________________ as well as its subsidiaries and affiliates (hereafter referred to as___________________) (and _____________________ and IMT jointly the “Parties”). WHEREAS, The Parties require certain information relating to their business, products, technology, methodology, processes and may require other information for the purpose of accomplishing an evaluation of a potential transaction or possible set of future transactions and business relationships and endeavors between them ("the Transaction"); and WHEREAS, The Parties consider the information which may be requested or provided by one from the other to be Confidential, confidential, and a valuable business asset, and therefore require that the information they each provide to the other be protected from unauthorized use, reproduction, or disclosure. NOW, THEREFORE, in consideration of this agreement and the disclosure of Confidential Information (as herein defined), and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, it is hereby agreed as follows: 1. Confidential Information. Confidential information means the information which might reasonably be considered to be of a confidential nature supplied by the Parties to each other, or their directors, officers, employees, consultants, engineers, designers, agents, attorneys, accountants or bankers (hereinafter "Representatives") for the purpose of evaluating, investigating and/or participating in the Transaction whether furnished before or after the date hereof, and regardless of the manner in which furnished, including, but not limited to, information regarding designs, plans, development and research projects, products, manufacturing methodology, the identity of vendors, use in competition, consultants and employees and its marketing, business and strategic plans as well as each entity's research and development status generally and existing and planned equipment and technology. Confidential information also includes information which might reasonably be considered to be of a confidential nature that has been disclosed to the Parties by the other for the purpose of evaluating the Transaction by a third party under an obligation to either of the Parties to treat information as confidential. Unless otherwise published, drawings and photographs (internal or external) of equipment designs shall be considered confidential. 2. Identification of Confidential Information. Confidential information shall be marked as same by the disclosing party prior to its dissemination to the 2 receiving party. However, a failure to mark what is otherwise clearly Confidential, a Trade Secret or material that is otherwise reasonably expected to be seen as protected under this Agreement shall not deprive that information from protection and the receiving party shall consider it to be protected as though marked. In the event of a verbal disclosure of Confidential information same shall be identified as such at the time of disclosure and, within ten (10) business days of such disclosure shall be followed by written confirmation of its protected nature and a general description of the confidential information so as to place the receiving party on notice of its confidential nature. 3. Exceptions to Confidential Information. Confidential information shall not include information which: (a) is or hereafter becomes publicly available other than as a result of a breach by the Parties (or a Party) of its obligations under this Agreement; or (b) is rightfully received by the Parties other than pursuant to this Agreement and the relationship between the parties from a third party without breach of (i) this Agreement or (ii) a confidential relationship with the other party to this Agreement, (c) was, before the Parties commenced discussion concerning the Transaction, already lawfully in the receiving Party’s or their directors', officers' employees', consultants', or agents' possession as can be demonstrated by written records or other reasonable evidence, or (d) is independently developed by the receiving Party through no use of the Confidential Information. 4. Permissible Use of Confidential Information. The Parties agree that they will not use the Confidential Information except to evaluate the Transaction, that they will protect the Confidential Information from unauthorized use, reproduction and disclosure as far as they are reasonably able and that except as may be required by law through order of a court of competent jurisdiction or duly empowered regulatory authority, they will not disclose the Confidential Information to any person inside or outside of the Parties not having a legitimate need to know the Confidential Information for the purpose of evaluating the Transaction. This Agreement does not expressly or impliedly grant or confer any rights in, title to, or license to any Confidential Information or other intellectual property of any kind. All Confidential Information remains at all times the exclusive property of the Disclosing Party or its licensors. 5. Protection of Confidential Information. The Parties agree to take all reasonable steps to provide for the protection, safekeeping, and to restrain and restrict the use, reproduction, and disclosure of the Confidential Information to only those individuals and entities permitted under and bound by this Agreement. The Parties shall inform each person in writing who shall receive Confidential Information from each in accordance with the terms of this Agreement, of the confidential nature of the Information and direct such persons to…
